PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Needwe platform, you agree to be bound by these terms and all terms incorporated by reference. If you do not agree to all of these terms, do not use the Needwe platform.

1. The Needwe Platform

The Needwe Platform is a web-based marketplace that connects individuals and businesses ("Service Requesters") seeking to obtain short-term services with independent service providers ("Taskers"). Service Requesters and Taskers are collectively referred to as "Users".

IMPORTANT: Needwe's role is limited to providing a neutral platform for Users to connect. Needwe does not provide the services offered by Taskers and is not an employer of any Tasker. The provision of all services is up to the Taskers, who are independent contractors. Needwe is not a party to the contracts entered into between Users. We do not supervise, direct, or control a Tasker’s work.

2. User Representations and Eligibility

By using the Platform, you represent and warrant that:

• You are 18 years of age or older and have the legal capacity to enter into a binding contract.
• All registration information you submit is truthful and accurate, and you will maintain the accuracy of such information.
• Your use of the Platform does not violate any applicable law or regulation in the United Kingdom.

3. Payments

Service Requesters make payments for services through our third-party payment processor. When a Service Requester accepts a Tasker's quote, they authorise payment, which is held in escrow. The funds are released to the Tasker only after the Service Requester confirms that the job has been completed satisfactorily.

Needwe is not responsible for payment disputes between Users, although we may provide a dispute resolution mechanism as a courtesy.

4. User Conduct and Responsibilities

All Users agree not to:

• Use the Platform for any illegal or unauthorised purpose.
• Misrepresent themselves or the services they offer.
• Engage in any form of harassment, threat, or intimidation of any other User.
• Attempt to circumvent the payment system or engage in off-platform transactions for jobs sourced through Needwe.

5. Termination

Needwe reserves the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice or liability, for any reason, including if you breach these Terms of Service.

6. Disclaimer of Warranties

THE NEEDWE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEEDWE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEEDWE MAKES NO WARRANTY THAT THE SERVICES PROVIDED BY TASKERS WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY SERVICES OBTAINED THROUGH THE PLATFORM.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEEDWE, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.

NEEDWE'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NEEDWE IN FEES IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR (B) £100.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF NEEDWE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Needwe and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your interaction with another User caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Platform.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Scotland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Glasgow, Scotland to resolve any legal matter arising from the Terms.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms of Service on this page and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms of Service.
